(the “Official Rules”)

No Purchase Necessary to Participate or Win. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING.

1. Eligibility:

The Framar x Moroccanoil Instagram Giveaway @moroccanoilpro (the “Sweepstakes”) is open to legal residents of the fifty (50) U.S. states (including the District of Columbia) and to residents of Canada who have reached the age of majority in their State or province of residence. Sweepstakes is void in Puerto Rico, Guam, and the Armed Forces. Sweepstakes is also void where prohibited by law. Employees or contractors of MOROCCANOIL, INC. or any of its respective affiliates, subsidiaries or advertising agencies, or any other company or individual involved with the design, production, execution or distribution of the Sweepstakes and their immediate family (spouse, parents and step-parents, siblings and step-siblings, and children and step-children) and household members (people who share the same residence at least three (3) months out of the year) of each such employee or contractor are not eligible. The Sweepstakes is subject to all applicable federal, state and local laws and regulations. Participation constitutes entrant’s full and unconditional agreement to these Official Rules and Sponsor’s (as defined below) decisions, which are final and binding in all matters related to the Sweepstakes. Winning the prize is contingent upon fulfilling all requirements set forth herein.

1. Sweepstakes Submission Period:

The Sweepstakes submission period begins on July 10, 2023 from the time the story or post announcing the Sweepstakes (the “Post”) is deployed on Instagram until July 14, 2023 at 11:59 PM EST (the “Sweepstakes Submission Period”). Sponsor is the official timekeeper for this Sweepstakes.

1. How to Enter:

During the Sweepstakes Submission Period, you can enter by following @moroccanoilpro + @framar on Instagram, leaving a comment below the Post by tagging a friend, and liking the Post. For a bonus entry, reshare in your stories and tag us. Unlimited entries per person.

By entering the Sweepstakes, you are indicating that you have read, understood and fully agree to these Official Rules. Sponsor is not responsible for lost, late, incomplete, invalid, or misdirected submissions which will be disqualified or for problems of any kind whether mechanical, human or electronic.

1. Random Drawing:

Winner/s and their nominee will be selected in a random drawing on or around July 27, 2023 from all eligible entries received during the Sweepstakes Submission Period. Odds of winning depend on the number of eligible entries received. By entering the Sweepstakes, entrants fully and unconditionally agree to be bound by these Official Rules and the decisions of the Sponsor, which will be final and binding in all matters relating to the Sweepstakes. The winner/s will be notified of their win. Potential winner/s must follow the prize claim instructions provided as part of the initial notification and any subsequent claim instructions otherwise the prize will be forfeited in its entirety. Winning is subject to verification of eligibility and compliance with all terms and conditions of these Official Rules. Failure to respond to the initial notification within five (5) days will result in disqualification. To claim prize, winner/s will be required to sign and return within five (5) days, where legal, a General Agreement and Release Form, which will be provided to winner/s in due time. If winner/s cannot be contacted in first two (2) attempts, fails to sign and return the General Agreement and Release Form within the required time period (if applicable), if any prize notification is returned as undeliverable, if winner/s rejects his/her prize or in the event of noncompliance with these Official Rules and requirements, such prize will be forfeited and an alternate winner/s may be selected from all remaining eligible entries. Upon any prize forfeiture, no compensation will be given.

Prize values are in United States Dollars (USD) and are approximate. No cash equivalent for the prizes. Prizes are non-transferable and no substitution will be made except as provided herein at the Sponsor’s sole discretion. Sponsor reserves the right to substitute the listed prize for one of equal or greater value for any reason. Winners are responsible for all taxes and fees associated with prize receipt and/or use. The odds of winning the prize is determined by the total number of eligible entries received. The prize is awarded “as is” with no guarantee, either express or implied. The prize will be provided to the winners within 2-3 weeks. If by reason of a printing, typographical, or other error, more prizes are claimed than the number set forth in these Official Rules, all persons making purportedly valid claims will be included in a random drawing to award the advertised number of prizes available in the prize category in question. No more than the advertised number of prizes will be awarded. The prize will be shipped to the winner via Ground Shipping and at the expense of the Sponsor.

1. Entry Condition:

By entering, each entrant agrees to comply with and be bound by these Official Rules and the decisions of the Sponsor which are binding and final in all matters relating to this Sweepstakes.

1. Release:

By entering, each entrant agrees to: (a) release and hold harmless Sponsor, Instagram, and their respective parent, subsidiary, and affiliated companies, the prize suppliers and any other organizations responsible for sponsoring, fulfilling, administering, advertising or promoting the Sweepstakes, and all of their respective past and present officers, directors, employees, agents and representatives (collectively, the “Released Parties”) from and against any and all claims, expenses, and liability, including but not limited to negligence and damages of any kind to persons and property, including but not limited to invasion of privacy (under appropriation, intrusion, public disclosure of private facts, false light in the public eye or other legal theory), defamation, slander, libel, violation of right of publicity, infringement of trademark, copyright or other intellectual property rights, property damage, or death or personal injury arising out of or relating to a participant’s entry, creation of an entry or submission of an entry, participation in the Sweepstakes, acceptance or use or misuse of prize (including any travel or activity related thereto) and/or the broadcast, exploitation or use of entry; and (b) indemnify, defend and hold harmless the Sponsor from and against any and all claims, expenses, and liabilities (including reasonable attorney fees) arising out of or relating to an entrant’s participation in the Sweepstakes and/or entrant’s acceptance, use or misuse of prize.

8.1 Release – Quebec:  The following shall only apply to residents of Quebec. Section 8 herein shall apply to residents of Quebec, except that the release does not apply to claims for damages due to personal injury or death, nor shall it be interpreted in a way that Sponsor would be liberated from the consequences of its own act or the act of its representative.

1. Publicity:

Except where prohibited, participation in the Sweepstakes constitutes winner’s agreement to Sponsor’s and its agents’ use of winner’s name, likeness, photograph, entrygraph, voice, opinions and/or city and state or province for promotional purposes in any media, worldwide, without further payment or consideration.

1. General Conditions:

Sponsor reserves the right to cancel, suspend and/or modify the Sweepstakes, or any part of it, if any fraud, technical failures or any other factor beyond Sponsor’s reasonable control impairs the integrity or proper functioning of the Sweepstakes, as determined by Sponsor in its sole discretion. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of these Official Rules or any other promotion or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

1. Limitations of Liability:

The Released Parties are not responsible for: (a) any incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilized in the Sweepstakes; (b) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in network hardware or software; (c) unauthorized human intervention in any part of the entry process or the Sweepstakes; (d) technical or human error which may occur in the administration of the Sweepstakes or the processing of entries; or (e) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Sweepstakes or receipt or use or misuse of any prize. If for any reason an entrant’s entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant’s sole remedy is another entry in the Sweepstakes. No more than the stated number of prizes will be awarded.

11.1           Limitations of Liability – Quebec:  The following shall only apply to residents of Quebec. Section 11 herein shall apply to residents of Quebec, except that the limitation of liability shall not be interpreted in a way that Sponsor would be liberated from the consequences of its own act or the act of its representative.

1. Disputes:

Entrant agrees that: (a) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes, or any prize awarded, shall be resolved individually, without resort to any form of class action; (b) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes, or any prize awarded, shall be resolved exclusively by the United States District Court or the appropriate New York State Court located in the New York County, New York; (c) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event attorneys’ fees; and (d) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of New York, without giving effect to any choice of law or conflict of law rules (whether of the State of New York or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of New York.

12.1           Disputes – Quebec:  The following shall only apply to residents of Quebec. Any litigation respecting the conduct or organization of a publicity contest may be submitted to the Régie des alcools, des courses et des jeux (the “Régie”) for a ruling. Any litigation respecting the awarding of a prize may be submitted to the Régie only for the purpose of helping the parties reach a settlement.

1. Force Majeure:

In no event shall Sponsor be responsible or liable for any failure or delay in the performance of its obligations hereunder arising out of or caused by, directly or indirectly, forces beyond its control, including, without limitation, strikes, work stoppages, accidents, acts of war or terrorism, COVID-19 restrictions, civil or military disturbances, nuclear or natural catastrophes or acts of God, epidemic, pandemic, diseases, quarantine and interruptions, loss or malfunctions of utilities, communications or computer (software and hardware) services (“Force Majeure Occurrence”). Sponsor may, at its sole discretion, provide a work-around solution to the Force Majeure Occurrence (such as an alternative prize etc.).

1. Éligibilité :

Le concours Instagram « Framar x Moroccanoil » (le « Concours ») est ouvert aux résidents autorisés des cinquante (50) États américains (y compris le district de Columbia), et aux résidents du Canada ayant atteint l’âge de la majorité dans leur État ou province de résidence. Le Concours n’est pas valable à Porto Rico, Guam et l’armée. Le Concours n’est pas non plus valable là où la loi l’interdit. Les employés ou entrepreneurs indépendants de MOROCCANOIL, INC. ou de l’une de ses sociétés affiliées, filiales, agences de publicité ou de toute autre société ou personne impliquée dans la conception, la production, l’exécution ou la distribution du Concours, ainsi que les membres de leur famille immédiate (conjoint, parents et beaux-parents, frères et sœurs par alliance ou non, enfants par alliance ou non) et les membres du ménage (personnes qui partagent la même résidence au moins trois (3) mois par an) desdits employés ou entrepreneurs indépendants ne sont pas éligibles. Le Concours est soumis à toutes les lois et réglementations fédérales, nationales et locales applicables. Le Commanditaire est le chronométreur officiel de ce Concours.

4. Comment participer :

Pendant la Période de participation au concours, vous pouvez participer :

• en aimant la publication Instagram mentionnée par @moroccanoilpro (la « Publication »);
• en suivant @moroccanoilpro et @framar sur Instagram;
• en commentant et en identifiant un ami sur la Publication;
• Entrée bonus en partageant la Publication dans tes stories Instagram et en nous taguant.
• Entrées illimitées par personne.

En vous inscrivant au Concours, vous indiquez que vous avez lu, compris et pleinement approuvé le présent Règlement officiel. Le Commanditaire n’est pas responsable des participations perdues, tardives, incomplètes, invalides ou mal acheminées qui seront disqualifiées, ni des problèmes de toute sorte, qu’ils soient de nature mécanique, humaine ou électronique.

5. Tirage au sort :

Les gagnant·e·s et la personne qu’ils ou elles auront désignée seront sélectionné·e·s par tirage au sort le 27 juillet 2023 ou autour de cette date parmi toutes les inscriptions admissibles reçues pendant la Période de participation au concours. Les chances de gagner dépendent du nombre de participations admissibles reçues. En s’inscrivant au Concours, les participant·e·s acceptent pleinement et inconditionnellement d’être lié·e·s par le présent Règlement officiel et les décisions du Commanditaire, qui seront définitifs et contraignants pour toutes les questions relatives au Concours. Les gagnant·e·s seront informé·e·s de leur gain. Les gagnant·e·s potentiel·le·s doivent suivre les instructions de réclamation du prix communiquées dans le cadre de la notification initiale et toute instruction de réclamation ultérieure, faute de quoi le prix sera perdu dans son intégralité. 7. Conditions d’inscription :

En s’inscrivant, les participant·e·s acceptent de respecter et d’être lié·e·s par le présent Règlement officiel et les décisions du Commanditaire, qui sont contraignants et définitifs pour toutes les questions relatives à ce Concours.

8. Décharge :

En s’inscrivant, les participant·e·s acceptent : (a) de libérer et de dégager de toute responsabilité le Commanditaire, Instagram et leurs sociétés mères, filiales et sociétés affiliées respectives, les fournisseurs des prix et toute autre organisation responsable de la commandite, de l’exécution, de la gestion, de la publicité ou de la promotion du Concours, ainsi que tous leurs dirigeants, administrateurs, employés, agents et représentants respectifs, passés et présents (collectivement, les « Parties libérées ») des réclamations, frais et responsabilités, y compris, mais sans s’y limiter, les négligences et les dommages de toute nature aux personnes et aux biens, y compris, mais sans s’y limiter, les atteintes à la vie privée (sous réserve d’appropriation, d’intrusion, de divulgation publique de faits privés, de représentation sous un faux jour aux yeux du public ou autre théorie juridique), les diffamations écrites ou verbales, les violations du droit de publicité, les contrefaçons de marque, les violations du droit d’auteur ou d’autres droits de propriété intellectuelle, les dommages matériels, les décès ou blessures corporelles découlant de ou liés à l’inscription d’un·e participant·e, à la création ou soumission d’une inscription, à la participation au Concours, à l’acceptation, l’utilisation ou la mauvaise utilisation du prix (y compris tout voyage ou activité y afférent) et/ou à la diffusion, à l’exploitation ou à l’utilisation d’inscription; et (b) d’indemniser, de défendre et de dégager le Commanditaire de toute responsabilité à l’égard des réclamations, frais et obligations (y compris les honoraires d’avocat raisonnables) découlant de ou liés à la participation d’un·e participant·e au Concours et/ou à l’acceptation, à l’utilisation ou à la mauvaise utilisation du prix par le ou la participant·e.

• Décharge – Québec :

La clause suivante ne s’applique qu’aux résidents du Québec. La section 8 du présent Règlement officiel s’applique aux résidents du Québec, étant entendu que la décharge ne s’applique pas aux demandes de dommages-intérêts pour blessures ou décès, et qu’elle ne doit pas être interprétée de manière à exonérer le Commanditaire des conséquences de ses propres actes ou des actes de ses représentants.

9. Publicité :

Sauf si la loi l’interdit, la participation au Concours vaut acceptation par le ou la gagnant·e de l’utilisation par le Commanditaire et ses agents de son nom, de son image, de sa photo, de son bulletin de participation, de sa voix, de ses opinions et/ou de sa ville et de son état ou de sa province à des fins promotionnelles dans tout média, dans le monde entier, sans autre paiement ou contrepartie.

10. Conditions générales :

Le Commanditaire se réserve le droit d’annuler, de suspendre et/ou de modifier le Concours, ou toute partie de celui-ci, si une fraude, des défaillances techniques ou tout autre facteur échappant au contrôle raisonnable du Commanditaire compromettent l’intégrité ou le bon fonctionnement du Concours, tel que déterminé par le Commanditaire à sa seule discrétion. Le Commanditaire se réserve le droit, à sa seule discrétion, de disqualifier toute personne qui, selon lui, manipule le processus d’inscription ou le fonctionnement du Concours ou qui agit en violation du présent Règlement officiel ou de toute autre promotion ou de manière déloyale ou perturbatrice. Toute tentative par une personne de saper délibérément le fonctionnement légitime du Concours peut constituer une violation du droit pénal et civil et, en cas de tentative de cette nature, le Commanditaire se réserve le droit de réclamer des dommages-intérêts à cette personne dans la pleine mesure permise par la loi. Le manquement du Commanditaire à faire appliquer les conditions du présent Règlement officiel ne saurait valoir renonciation à cette clause.

11. Limitations de responsabilité :

Les Parties libérées ne sont pas responsables : (a) de toute information incorrecte ou inexacte, qu’elle soit due aux participant·e·s, à des erreurs d’impression ou à tout équipement ou programme associé ou utilisé dans le cadre du Concours; (b) des défaillances techniques de toute nature, y compris, mais sans s’y limiter, des dysfonctionnements, des interruptions ou des déconnexions du matériel ou des logiciels du réseau; (c) des interventions humaines non autorisées dans toute partie du processus d’inscription ou du Concours; (d) des erreurs techniques ou humaines pouvant survenir dans la gestion du Concours ou le traitement des inscriptions; ou (e) de toute blessure ou de tout dommage aux personnes ou aux biens pouvant être causé, directement ou indirectement, en tout ou en partie, par la participation du ou de la participant·e au concours ou par la réception, l’utilisation ou la mauvaise utilisation des prix. Si, pour quelque raison que ce soit, il s’avère que l’inscription d’un·e participant·e a été supprimée par erreur, perdue, ou autrement détruite ou corrompue, le ou la participant·e n’aura d’autre recours que de s’inscrire à nouveau au Concours. Le nombre de prix attribués ne sera pas supérieur au nombre indiqué.

• Limitations de responsabilité – Québec :

La clause suivante ne s’applique qu’aux résidents du Québec. La section 11 du présent Règlement officiel s’applique aux résidents du Québec, étant entendu que la limitation de responsabilité ne doit pas être interprétée de manière à exonérer le Commanditaire des conséquences de ses propres actes ou des actes de ses représentants.

12. Litiges :

Le ou la participant·e convient que : (a) tous les litiges, réclamations et causes d’action découlant de ou liés à ce Concours, ou tout prix attribué, seront résolus individuellement, sans recours à aucune forme d’action collective; (b) tous les litiges, réclamations et causes d’action découlant de ou liés à ce Concours, ou tout prix attribué, seront résolus exclusivement par la Cour de district des États-Unis ou la Cour compétente de l’État de New York située dans le comté de New York, New York; (c) tous les jugements, les réclamations, et les récompenses seront limités aux frais réels encourus, y compris aux frais associés à la participation à ce Concours, mais en aucun cas aux honoraires d’avocat; et (d) le ou la participant·e ne sera en aucun cas autorisé·e à obtenir une compensation et, par la présente, renonce à tous les droits de réclamation en dommages-intérêts punitifs, consécutifs et indirects ainsi que de tous autres dommages-intérêts, autres que pour des dépenses réelles, et renonce en outre à tous les droits de multiplier ou d’accroître de tels dommages-intérêts. CERTAINES JURIDICTIONS N’AUTORISENT PAS LA LIMITATION OU L’EXCLUSION DE LA RESPONSABILITÉ POUR LES DOMMAGES INDIRECTS OU CONSÉCUTIFS, IL SE PEUT DONC QUE LES DISPOSITIONS CI-DESSUS NE S’APPLIQUENT PAS À VOTRE CAS. Les problèmes et questions concernant la structure, la validité, l’interprétation et l’applicabilité du présent Règlement officiel, ou les droits et obligations du ou de la participant·e et du Commanditaire en lien avec le Concours seront régis et interprétés conformément aux lois de l’État de New York, sans donner effet à un choix de lois ou à des règles de conflit de lois (que ce soit de l’État de New York ou de toute autre juridiction), qui entraîneraient l’application des lois d’une juridiction autre que l’État de New York.

• Litiges – Québec :

La clause suivante ne s’applique qu’aux résidents du Québec. Tout litige concernant le déroulement ou l’organisation d’un concours publicitaire peut être soumis à la Régie des alcools, des courses et des jeux (la « Régie ») en vue d’une décision. Tout litige relatif à l’attribution d’un prix peut être soumis à la Régie uniquement dans le but d’aider les parties à parvenir à un accord.

13. Force majeure :

Le Commanditaire ne saurait en aucun cas être tenu pour responsable de tout manquement ou retard dans l’exécution de ses obligations en vertu du présent Règlement, résultant ou causé par, directement ou indirectement, des forces indépendantes de sa volonté, y compris, sans s’y limiter, des grèves, des arrêts de travail, des accidents, des actes de guerre ou de terrorisme, des restrictions contre la COVID-19, des troubles civils ou militaires, des catastrophes nucléaires ou naturelles ou des désastres naturels, des épidémies, des pandémies, des confinements et des interruptions, des pertes ou des dysfonctionnements des services publics, des communications ou des services informatiques (logiciels et matériels) (« cas de force majeure »). Le Commanditaire peut, à sa seule discrétion, fournir une solution alternative pour pallier le cas de force majeure (tel qu’un prix alternatif, etc.).

14. Informations personnelles du ou de la participant·e :

Le Commanditaire ne traitera les informations personnelles recueillies auprès des participant·e·s que conformément à la politique de confidentialité du Commanditaire qui est disponible sur les sites Web suivants, en fonction de la localisation des participant·e·s :
